TL;DR
A Confirmation Statement is an annual filing that tells Companies House "yes, our company information is still correct." Every UK company must file one at least once a year.
What is a Confirmation Statement?
The Simple Explanation
Think of it like this:
Companies House keeps a big database of information about every UK company – who runs it, where it's based, who owns it. But companies change. People move, directors leave, ownership changes.
So once a year, Companies House asks you: "Is all this information still correct?"
Your Confirmation Statement is your answer: "Yes, it's all correct" (or "Here are the changes").
What Information Does It Cover?
Company Details
- • Company name
- • Company number
- • Type of company
- • Business activity (SIC code)
Registered Office
- • Official address
- • SAIL address (if different)
People
- • Directors
- • Secretary (if any)
- • PSCs (owners/controllers)
Shares
- • Share capital
- • Statement of capital
- • Shareholder details
It Used to Be Called an "Annual Return"
If you've been in business a while, you might remember the Annual Return. The Confirmation Statement replaced it in 2016.
The main difference? You don't have to re-enter all your information every year. Instead, you just confirm that the information Companies House already has is still correct.
Why Does It Matter?
Legal Requirement
It's the law. Every UK company must file at least once a year.
Public Trust
It keeps the Companies House register accurate. Customers, suppliers, and lenders use this to check companies are legitimate.
Proves You're Active
Filing your Confirmation Statement shows your company is still operating. Missing it suggests the company might be abandoned.
New Requirement: Identity Verification
From 2024/25, Companies House won't accept your Confirmation Statement unless all directors and PSCs have verified their identity.
This means before you can file, everyone listed as a director or PSC needs a Personal Code from Companies House.
